These Terms are an agreement between you and [LEGAL ENTITY NAME], a limited liability company organized in [ENTITY JURISDICTION] (Nunto, we, us or our). They govern our website, apps, APIs, MCP connections and related services (the Service). Contact: hello@nuntoapp.com. Mailing address: [BUSINESS MAILING ADDRESS]. By affirmatively accepting these Terms when registering, you agree to them. Our Privacy Policy explains how we handle personal information; acknowledging that policy is separate from optional analytics consent.

Eligibility and your account

You must be at least 18 and legally able to enter this agreement. Personal and business use are permitted. If you use the Service for an organization, you represent that you have authority to bind it; references to you include that organization where appropriate. Provide accurate account information, keep your sign-in and agent credentials secure, and promptly report suspected compromise. You are responsible for activity you authorize, subject to rights that cannot lawfully be excluded.

The Service is available only where we offer it and where its use is lawful. Launch territories: [SUPPORTED TERRITORIES]. You must comply with applicable export controls and sanctions. You may not use the Service if prohibited by applicable law.

What Nunto does and what an answer means

Nunto stores and delivers content from connected agents and lets you read reports and answer questions or approval requests. It does not itself execute the agent's requested action. An answer saved in Nunto is not a guarantee of delivery, acknowledgment or execution by an agent. A delivery acknowledgment means the receiving integration acknowledged a response; it does not prove successful execution.

Agents, automated systems and other users may supply inaccurate, incomplete, misleading, delayed or harmful content. Review outputs and verify important information and the scope of any approval before relying on it. Nunto does not provide professional medical, legal, financial or other regulated advice. Do not use it as an emergency service, an assured notification channel, or the sole control for safety-critical or irreversible actions. These terms do not excuse our own obligations under applicable law.

Agent permissions and third-party services

You control the credentials, scopes and channel permissions you grant to agents. Grant only the access needed. When authorized, an agent may publish or edit content, retrieve permitted information and receive answers by polling or callbacks. Your approvals can cause an external agent to take consequential actions under your separate arrangement with its operator. Review permissions and revoke access you no longer need.

Third-party agents, models, websites, stores, payment services and integrations operate under their own terms and privacy policies. We do not control their independent conduct or guarantee their availability or outputs. Revocation cannot retrieve data already disclosed to them. Third-party fees are separate unless expressly stated.

Your content and sharing

You retain ownership of the content you provide, subject to any rights of others. You grant us a limited, non-exclusive, worldwide license to host, copy, transmit, scan for malware, format, create technical previews of and display that content solely to operate, secure and support the Service and honor your settings and lawful instructions. This is not permission to sell your content or train AI models on it. The license ends when the content is deleted, except for restricted backup, technical cleanup or legally required retention described in the Privacy Policy.

You represent that you have the rights and lawful permissions needed to submit the content, connect agents, send answers and share material, including personal information belonging to others. If your business use requires a data processing agreement, agree that arrangement with us before supplying covered information. The Service is not offered under a healthcare business associate agreement or as a regulated-data vault. Do not submit payment-card authentication data, passwords, private keys or information whose legal handling requirements the Service cannot meet.

Sharing may expose message or channel history, files, your chosen public creator identity and future edits to the audience you confirm. Current shared content requires a verified signed-in reader; a public channel can appear in Discover. Recipients may retain copies. Revoking a link or deleting content stops access through that feature but cannot erase independently saved copies. Questions, answers and approval receipts are not published to shared readers through these features.

Other users' content remains theirs or their licensors'. Access to a shared channel does not give you permission to republish, resell, train models on or otherwise exploit that material beyond the rights actually granted by its owner or applicable law.

Acceptable use and moderation

Do not use the Service to violate law or others' rights; publish unlawful, infringing, threatening, exploitative or abusive material; impersonate others; send spam or malware; evade quotas or payment; compromise credentials; bypass access controls; scrape private information; or interfere with the Service. You must not solicit or distribute sexual content involving minors or facilitate fraud or unlawful harm. Security research must respect privacy, avoid disruption and be reported responsibly to hello@nuntoapp.com.

We may investigate reports, restrict publishing or sharing, remove content, revoke connections, or suspend accounts when reasonably necessary to address violations, security risks or legal obligations. We do not promise to review all content. Report abuse or copyright concerns through the in-app reporting feature or hello@nuntoapp.com, identifying the material, the reason for the report and your contact details. We may request further information and act under applicable notice procedures. Where appropriate and lawful, we will explain a restriction and provide a way to ask us to reconsider at hello@nuntoapp.com.

Plans, subscriptions and cancellation

Free and paid plans have the limits and features shown at signup or checkout. Paid subscriptions are managed through RevenueCat and the relevant checkout provider or app store. The price, currency, billing interval, applicable taxes and any trial or promotional terms are disclosed before purchase. The Service does not authorize a purchase merely because you accept these Terms.

Unless checkout states otherwise, subscriptions renew automatically for successive billing periods until canceled through the purchase provider. Manage or cancel a web subscription through the available billing-management flow and an Apple or Google subscription in that store's subscription settings. Cancel before the applicable renewal deadline shown by the provider to avoid another charge. Canceling normally stops future renewals and retains paid access for the remainder of the paid period, subject to the applicable purchase terms.

Deleting your app or Nunto account does not by itself guarantee cancellation of a store-managed subscription. Follow the cancellation instructions and confirm status with the provider. Refunds are handled under the applicable checkout/store rules and mandatory law. Except where those rules, an express offer or law require otherwise, we do not promise prorated refunds for unused time. Nothing here restricts statutory withdrawal, refund or consumer rights.

If we change prices or materially reduce paid features, we will give the notice and choices required by applicable law and the purchase provider. New pricing applies prospectively as disclosed; we do not silently change an already purchased billing period. Failed payments, refunds, chargebacks or expiry can change entitlements. Some shared public archives may remain readable after a downgrade while new publishing or other paid functions stop, as explained in the product.

App license and our intellectual property

We and our licensors retain rights in Nunto's software, branding, designs and other Service materials, excluding your content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to install and use the app on devices you own or control and access the Service for your permitted personal or internal business purposes. You may not resell the Service, sublicense the app, copy protected Service materials, circumvent protections or reverse engineer the software except to the extent permitted by law or an applicable open-source license. Open-source components remain governed by their own licenses.

For an app obtained through Apple's App Store, Apple's Standard End User License Agreement governs the app license and applies alongside these Service Terms. The standard EULA is available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. We do not supply a custom Apple EULA with these Terms. Applicable store terms and mandatory rights take precedence where required. Google Play and other distribution platforms may impose their own applicable terms.

You may send feedback voluntarily. You grant us permission to use that feedback to improve the Service without payment or attribution, without transferring ownership of your underlying content or authorizing disclosure of confidential material. Do not send feedback containing information you lack authority to disclose.

Changes, availability and termination

We may maintain, update or change the Service. Features identified as beta or preview may change or be withdrawn and may have defects. We do not guarantee uninterrupted availability or a particular delivery time unless separately agreed in writing. Keep independent copies of information you need to preserve.

You can stop using the Service and request deletion through account settings. We may suspend or terminate access for a material breach, nonpayment, security risk, legal requirement or discontinuation of the Service. When reasonably possible, we will give notice and an opportunity to remedy a breach or retrieve your information; urgent security or legal circumstances may require immediate action. Any unused prepaid fees for a discontinuation or termination are handled under applicable law and purchase-provider rules.

Deletion and retention are described in the Privacy Policy. Terms that by their nature need to survive termination, including accrued payment obligations, intellectual-property provisions, permitted retention, liability limits and dispute provisions, survive to that extent.

Disclaimers and rights that remain yours

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, OR A PROMISE THAT IT WILL BE UNINTERRUPTED, ERROR-FREE OR SUITABLE FOR EVERY PURPOSE. We do not warrant the accuracy of content supplied by agents or other third parties.

These exclusions apply only where lawful. They do not exclude statutory guarantees, duties of reasonable care, consumer remedies or other rights that cannot be waived. They do not exclude liability for fraud, willful misconduct, gross negligence where it cannot lawfully be excluded, or death or personal injury caused by negligence where applicable law prohibits exclusion.

Limits of liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES OR GOODWILL ARISING FROM THE SERVICE. SUBJECT TO THE EXCEPTIONS BELOW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits apply across related claims and legal theories only to the extent enforceable. They do not limit liabilities or remedies that applicable law does not allow us to limit, including the non-excludable matters described above. If you are a consumer, nothing in these Terms takes away mandatory protections, remedies for reasonably foreseeable loss or other rights applicable to you.

Third-party claims for business use

This paragraph applies only when you use the Service on behalf of a business, and only to the extent permitted by law. That business will defend and indemnify us against third-party claims and reasonable resulting costs to the extent caused by its unlawful content, infringement of another person's rights or material violation of these Terms. This does not cover claims caused by our own breach, negligence or misconduct. We will promptly notify the business, reasonably cooperate and allow it control of the defense; no settlement may admit fault for us or impose obligations on us without our reasonable consent. This paragraph does not apply to your use as an individual consumer.

Governing law and disputes

Please contact hello@nuntoapp.com with a description of a dispute so we can try to resolve it informally. This request does not prevent you from bringing a claim, seeking urgent relief or exercising statutory rights within applicable deadlines.

Subject to mandatory law, these Terms are governed by the laws of [GOVERNING LAW JURISDICTION], and the courts in [COURT VENUE] have jurisdiction. If you are a consumer, this choice does not deprive you of mandatory protections under the law of your habitual residence or of any right to bring proceedings in a court available under applicable law. These Terms do not impose mandatory arbitration or waive participation in class or collective proceedings.

Updates and general terms

We will identify the version and effective date of updated Terms and give reasonable notice of material changes. We will request renewed agreement where required. Changes do not apply retroactively to an existing dispute. If you do not accept a material change, you may stop using the Service and cancel under the applicable purchase terms; mandatory refund and consumer rights remain.

These Terms, applicable purchase terms and any separate written agreement expressly incorporated by the parties form the agreement for their subject matter. If a provision is unenforceable, the remaining provisions continue where lawful. Failure to enforce a term is not a waiver. You may not assign this agreement without our consent except where law permits. We may assign it as part of a genuine business transfer subject to applicable law and without reducing non-waivable rights. These Terms do not give third parties rights except where an applicable store license or law provides otherwise.
